On 15th September 2022 the CMA published its Phase 2 provisional findings regarding the acquisition of SSS Public Safety (SSS) by NEC Software Solutions (NECSWS). Unfortunately, the CMA’s view remains that the deal raises competition concerns with the ICCS and Duties product lines, although they have indicated that they no longer have concerns with Record Management Systems (RMS).
This is not the news we had hoped for at this stage, however the CMA’s findings are only provisional, and we will continue to work hard to try to persuade the CMA that it should not be concerned about the deal and that it should allow the transaction to proceed.
The CMA are considering what remedies may be appropriate and have invited views on this. We will be actively engaging with the CMA to seek to ensure that proposed remedies provide the best route forward for the business and our customers.
We must stress that this is the CMA’s provisional findings only and not their final decision. We will be working with our advisors and the CMA to hopefully reach an acceptable position for the SSS business. The CMA’s final decision at Phase 2 is expected in October 2022.
Irrespective of the outcome of the CMA investigation we continue to believe in the SSS business, and we have every confidence in SSS’ plans and products for the future.
